These Terms of Service ("Terms") govern your access to and use of the Virtus Transport platform, website, and related services (collectively, the "Service") operated by Virtus Transport Ltd ("Virtus", "we", "us", or "our"). Please read these Terms carefully before using the Service.
By accessing or using Virtus Transport, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" shall include that organisation.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of those modifications.
Virtus Transport is a cloud-based last-mile delivery management platform designed for courier and transport companies. The Service includes, but is not limited to, the following features:
We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.
To use the Service, you must create an account. When registering, you agree to:
Each individual may only maintain one account. Duplicate accounts may be terminated without notice. Virtus reserves the right to refuse registration or cancel accounts at its sole discretion.
Access to the Service is provided on a subscription basis. The following billing terms apply:
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
API Rate Limits: Access to the Virtus Transport API is subject to rate limits as specified in our API documentation. Exceeding these limits may result in temporary or permanent restriction of API access. If you require higher rate limits, please contact our sales team to discuss Enterprise plan options.
Our Platform: The Service, including all software, design, text, graphics, interfaces, and underlying technology, is owned by Virtus Transport Ltd and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription, subject to these Terms.
Your Data: You retain all ownership rights to the data you upload, submit, or generate through the Service ("Your Data"). Virtus does not claim ownership of Your Data.
Licence to Process: By using the Service, you grant Virtus a limited, worldwide, royalty-free licence to access, use, process, and display Your Data solely for the purpose of providing, maintaining, and improving the Service. This licence terminates when you delete Your Data or when your account is terminated.
Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.
Virtus Transport is committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. We act as a data processor on your behalf when processing personal data through the Service.
A Data Processing Agreement (DPA) is available upon request for customers who require one. To request a DPA, please contact us at [email protected].
Uptime SLA: Virtus Transport provides a 99.9% uptime Service Level Agreement (SLA) for customers on Enterprise plans. Details of the SLA, including service credits for downtime, are outlined in your Enterprise agreement. Uptime is measured on a monthly basis and excludes scheduled maintenance windows.
Scheduled Maintenance: We perform routine maintenance to ensure the reliability and security of the Service. Scheduled maintenance windows will be communicated at least 48 hours in advance via email and our status page. Where possible, maintenance is performed during off-peak hours.
Force Majeure: Virtus shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet disruptions, pandemics, war, or acts of terrorism.
To the maximum extent permitted by applicable law, Virtus Transport, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the cause of action or the theory of liability.
In no event shall Virtus's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the total amount of fees paid by you to Virtus during the twelve (12) months immediately preceding the event giving rise to the claim.
The Service is provided on an "as is" and "as available" basis. Virtus makes no warranties, express or implied, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Either party may terminate the subscription and these Terms by providing 30 days' written notice to the other party. Virtus may also terminate or suspend your account immediately, without prior notice, if you breach any provision of these Terms.
Data Export: Upon termination of your account, you will have a period of 90 days to export Your Data from the Service. We provide data export tools within the platform to facilitate this process. After the 90-day period, Your Data will be permanently deleted from our systems in accordance with our data retention policies.
Termination shall not affect any rights or obligations that have accrued prior to the date of termination. Sections relating to Intellectual Property, Limitation of Liability, and Dispute Resolution shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in London, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in English, and the decision of the arbitrator(s) shall be final and binding on both parties.
Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of no less than 30 days.
Virtus reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by posting a prominent notice on the Service at least 14 days before the changes take effect. The "Last updated" date at the top of this page will be revised accordingly.
Your continued use of the Service after the effective date of any modifications to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service and terminate your account.
